Welcome to FleetEdge LLC ("FleetEdge," "Company," "we," "our," or "us"). These Terms of Use govern your access to and use of FleetEdge's websites, applications, software, cloud services, APIs, and related products.

By accessing or using our Services, you agree to these Terms. If you do not agree, do not use the Services.

1. About FleetEdge

FleetEdge LLC is a transportation technology company providing software solutions for commercial fleets. Our products include but are not limited to:

• BaseLine TMS
• TrackSafe365 AI Dashcams
• Driver Recruiting Platform
• Fleet Management Software
• Compliance Tools
• Dispatch Software
• Safety Solutions
• Reporting & Analytics
• API Integrations

2. Eligibility

You must be at least 18 years old and legally authorized to represent your company or organization.

3. Account Registration

Some Services require an account. You agree to:

• provide accurate information
• keep credentials confidential
• maintain account security
• notify us of unauthorized access

You are responsible for all activities under your account.

4. Acceptable Use

You agree not to:

• violate laws
• misuse the platform
• interfere with system operations
• attempt unauthorized access
• upload malware
• reverse engineer our software
• disrupt our infrastructure
• misuse APIs
• infringe intellectual property rights

5. Fleet Data

FleetEdge processes operational data including:

• Drivers
• Vehicles
• Trailers
• Dispatch information
• GPS locations
• Compliance records
• Safety events
• Maintenance information
• Documents
• Analytics

Customers remain owners of their operational data. FleetEdge processes such information solely to provide the Services.

6. AI Dashcam Services

TrackSafe365 provides AI-powered driver safety features. Safety alerts, driver scores, and event detections are intended to assist fleet management and should not replace human judgment. FleetEdge does not guarantee prevention of accidents or violations.

7. Driver Recruiting Platform

Our recruiting platform assists carriers with applicant management. FleetEdge does not guarantee:

• hiring outcomes
• applicant accuracy
• employment eligibility
• licensing validity

Customers remain responsible for hiring decisions.

8. Third-Party Services

FleetEdge integrates with external providers including but not limited to:

• Google Workspace
• Gmail
• Google Maps
• HERE Maps
• ELD providers
• Drug testing providers
• Background screening providers
• SMS providers
• Payment providers
• Other APIs

These services are governed by their own terms. FleetEdge is not responsible for third-party service availability.

9. Gmail Integration

FleetEdge may allow users to connect their Google Workspace or Gmail accounts. When authorized, FleetEdge may access Gmail solely to provide requested functionality such as:

• viewing emails
• sending emails
• composing drafts
• replying
• organizing messages
• displaying mailbox information
• synchronizing user-selected email content

FleetEdge does not sell Gmail data. FleetEdge does not use Gmail content for advertising. FleetEdge does not use Gmail content to train artificial intelligence models. Google account access may be revoked at any time through Google Account settings.

10. Intellectual Property

All software, designs, trademarks, logos, interfaces, documentation, source code, and content remain the exclusive property of FleetEdge LLC or its licensors.

11. Service Availability

Although we strive for high availability, uninterrupted operation cannot be guaranteed. Maintenance, upgrades, outages, or third-party failures may temporarily affect availability.

12. Disclaimer

Services are provided "AS IS" and "AS AVAILABLE." FleetEdge makes no warranties regarding:

• uninterrupted availability
• accuracy of third-party data
• regulatory compliance
• business outcomes
• financial performance

13. Limitation of Liability

To the maximum extent permitted by law, FleetEdge shall not be liable for:

• indirect damages
• consequential damages
• loss of profits
• loss of data
• business interruption
• punitive damages

14. Indemnification

You agree to defend and indemnify FleetEdge from claims resulting from:

• misuse of Services
• violation of these Terms
• unlawful activities
• customer-provided data

15. Suspension

FleetEdge may suspend or terminate accounts for:

• security concerns
• abuse
• fraud
• legal requirements
• non-payment
• violations of these Terms

16. Governing Law

These Terms are governed by the laws of the State of Illinois, United States.

17. Changes

FleetEdge may update these Terms periodically. Continued use constitutes acceptance of updated Terms.
